These terms of use (“Terms”) govern your access to and use of our website located at https://www.365agents.ai and any related products, services, content, features, or applications provided by 365Agents (collectively, the “Services”). By using our Services, you agree to these Terms. If you do not agree, do not use our Services.

1. Use of the services

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Services in any way that violates applicable laws or regulations

  • attempt to gain unauthorized access to any systems or networks connected to the Services

  • interfere with the functionality or security of the Services

  • reverse engineer, copy, or modify any part of the platform without permission

  • use our Services to develop competing products

We reserve the right to suspend or terminate access to our Services at any time for conduct that violates these Terms or harms our business or users.

2. User accounts and access

Certain features of our Services may require registration or joining a waitlist. If you create an account, you are responsible for:

  • providing accurate and complete information

  • maintaining the confidentiality of your login credentials

  • all activities that occur under your account

365Agents is not liable for any loss or damage arising from unauthorized use of your account.

3. AI-generated outputs

Our Services may include features that generate content or responses using artificial intelligence (“AI Agents”). You understand and agree:

  • AI outputs are not guaranteed to be accurate, complete, or error-free

  • you are responsible for reviewing and verifying any AI-generated information before relying on it

  • we are not liable for decisions made based on AI content or actions

AI Agents are tools intended to assist—not replace—human judgment.

4. Waitlist, beta features, and early access

If you join a waitlist or participate in a beta program:

  • access is not guaranteed and may be revoked at any time

  • beta features are experimental and may contain bugs or change without notice

  • we make no promises about functionality, uptime, or performance

  • you agree not to publicly disclose, copy, or redistribute beta materials

Feedback you provide may be used to improve our Services.

5. Intellectual property

All content on our website and Services—including code, design, branding, text, visuals, software, and AI agent logic—is the property of 365Agents or its licensors.

You may not reproduce, distribute, publish, or create derivative works from our content without our express permission.

6. Third-party services and integrations

We may use or link to third-party tools (e.g., analytics, CRMs, scheduling platforms) to deliver parts of our Services. We are not responsible for the terms, performance, or privacy practices of these external services. Use of third-party tools is subject to their terms and conditions.

7. Subscription, payment, and billing (if applicable)

If you purchase a subscription or paid service:

  • you agree to pay all applicable fees

  • fees are non-refundable unless required by law or agreed in writing

  • you authorize us to charge your payment method for recurring billing (if selected)

Additional payment terms may be presented at the time of purchase or subscription.

8. Disclaimer of warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee:

  • uninterrupted or error-free operation

  • that the Services will meet your needs

  • the accuracy or reliability of AI-generated outputs

To the fullest extent permitted by law, we disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the extent permitted by law, 365Agents will not be liable for any indirect, incidental, special, or consequential damages arising from:

  • use or inability to use the Services

  • errors or inaccuracies in AI-generated content

  • unauthorized access to your account

  • reliance on beta or third-party features

Our total liability is limited to the amount you paid (if any) in the 12 months prior to the claim.

10. Indemnification

You agree to indemnify and hold harmless 365Agents and its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Changes to the terms

We may update these Terms from time to time. When we do, we will revise the “effective date” at the top. Your continued use of the Services after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws rules. Any disputes will be resolved in the courts located in Ontario.
